Franprix has taken full ownership of Pro Distribution, which operates around 90 stores, as French retail group Plesio completed its revised partnership with the Zouari family on 2 November 2026.

The transaction raises Franprix’s holding in Pro Distribution from 73% to 100%. Separately, the Zouari family now holds approximately 60% of the company dedicated to developing the Franprix network, with Franprix retaining around 40%.

The distinction matters: the family’s majority stake relates to the development company. It does not mean that the Zouari family has acquired 60% of the Franprix banner or its entire store estate.

Plesio, the group formerly known as Casino, confirmed completion in an announcement issued on 2 November. The operation was originally announced on 8 June 2026, so today’s development is the closing of an existing agreement rather than a newly proposed transaction.

For grocery suppliers, the arrangement separates two functions within the network: operating the Pro Distribution stores and developing the wider Franprix estate. Ownership changes can affect commercial relationships over time, but the completion statement does not announce new purchasing terms, a supplier consolidation programme or an immediate change to store ranges.

Existing suppliers should therefore distinguish a completed corporate transaction from a confirmed operational instruction. The announcement does not establish that contracts, payment terms or ordering systems have changed across the approximately 90 stores.

Franprix operates in the convenience segment of France’s supermarket market, where neighbourhood locations must balance frequent shopping missions with limited selling space. A development partnership can support network expansion, while the eventual effect on volumes depends on actual openings, store performance and product distribution.

Plesio describes the wider group as comprising approximately 6,500 outlets and nearly 25,000 employees across seven banners and businesses, including Monoprix, Franprix, Naturalia and Casino. Its stated €12.5 billion business volume for 2025 is a group measure, not the turnover of Pro Distribution or Franprix alone.

The completion is distinct from the financing issues covered in GTN’s earlier report on Casino’s debt discussions. The new announcement concerns the structure of the Franprix partnership and does not, by itself, resolve or update every group financing question.

The next commercial indicators will be concrete development plans and any separately announced changes affecting the Pro Distribution stores. Until those are disclosed, the confirmed outcome is the new ownership structure.

Editor’s Note: Based on Plesio’s announcement dated 2 November 2026. GTN’s analysis separates the development company from the store-operating business and does not infer supplier-policy changes from the ownership transaction.
